TERMS AND CONDITIONS

DEFINITIONS

For the purposes of this Agreement, the following terms will have the following meanings:

  • Application or Applications: Applications, software, games, or any other digital material distributed or offered by the Developers through msnet.in.
  • Developer: Any natural person, legal entity, company, partnership, trust, fund, or vehicle who uses msnet.in to offer and distribute (directly or by authorizing its distribution) Applications through msnet.in in accordance with this Agreement.
  • Developer Account: A publication account provided by msnet.in to a Developer that allows it to use msnet.in and upload and distribute Applications through the platform.
  • Device or Devices: Any IT equipment, including without limitation smartphones, tablets, televisions, devices for “automotive use” or any other type that can be used to access msnet.in and download Applications offered through msnet.in.
  • msnet.in: The software owned by or licensed to msnet.in and services provided by msnet.in (or msnet.in Affiliates or third parties in the terms set forth by msnet.in), including, without limitation, the web, the native application for Android, and its native AppStore for Android; which allows Developers to upload, offer, and distribute Applications directly to the Devices of Users, including any in-app payment or other features provided or offered by msnet.in through the software.
  • User or Users: Any user of msnet.in.
  • msnet.in Affiliates: Any entity controlling, controlled by, or under common control with msnet.in, where control means the direct or indirect ownership of more than 50% of such entity’s capital or equivalent voting rights.

ACCEPTANCE OF THIS AGREEMENT

These terms form an agreement (the “Agreement”) that constitutes a legally binding contract between the Developer and msnet.in regarding the use of msnet.in by the Developer and the upload and/or offer and/or distribution to Users of Applications by the Developer through msnet.in. By using msnet.in, the Developer can make Applications available to Users. By means of this Agreement, msnet.in will host the Application but not any content provided through the same that is not included in the Application.

In the event there is a separate written agreement between the Developer and msnet.in regarding the distribution of the Applications through msnet.in and there is any inconsistency between such a separate written agreement and this Agreement, such separate written agreement shall prevail to the extent of the inconsistency.

During the term of this Agreement, the Developer expressly consents to and authorizes:

  1. msnet.in to display the Applications (and the materials provided together with the Applications) and make them available to the Users, so the Users can view their description, download, install, use, and/or update them. This authorization applies to the msnet.in website, the msnet.in native application for Android, and its native AppStore for Android as well as any official msnet.in content channels, API, or technology that allows third parties to access and display the Applications.
  2. msnet.in to create material such as videos, images, or texts about the Applications, and use any material within the Application or provided by the Developer, to promote msnet.in and the availability of the Applications within msnet.in.

In order to use msnet.in and upload, offer, and distribute the Applications, the Developer must agree to this Agreement and register with a Developer Account. The Developer cannot access and use msnet.in if they do not accept this Agreement or a separate written agreement in addition to this Agreement and activate the Developer Account.

USE OF MSNET.IN BY THE DEVELOPER

The Developer shall access and use msnet.in only as necessary for the purposes under this Agreement. The Developer shall not use msnet.in in any manner inconsistent with this Agreement or that infringes third-party rights or violates any applicable laws or regulations.

The Developer is responsible for:

  • Providing files, uploading the Application, and delivering support for all matters related to the Application.
  • Representing and ensuring proper authorization for the Applications to function on Users’ Devices.
  • Maintaining a backup of the files and materials provided.

Applications will undergo evaluation and quality assurance by msnet.in to ensure compliance with policies. Applications that are rejected will be notified to the Developer.

LICENSE GRANT

The Developer grants msnet.in and its Affiliates a non-exclusive, royalty-free, worldwide license to:

  1. Use, copy, run, analyze, and edit the Applications for evaluation and compliance purposes.
  2. Host, display, promote, and distribute the Applications.
  3. Use materials provided by the Developer for promoting msnet.in and its services.

ECONOMIC CONDITIONS AND REVENUE SHARE

Revenue sharing applies when In-App Products, managed by msnet.in, are sold. msnet.in will take a 20% share of the Net Revenues, and the Developer will receive 80%.

The Developer must ensure Users are fully informed before purchasing In-App Products.

LIABILITY LIMITATION

msnet.in and its Affiliates will not be liable for any indirect or consequential damages. The total liability of msnet.in will not exceed the Developer’s revenue share in the previous 12 months or €10,0, whichever is higher.
